1. Scope and Nature of Service

DARUM Labs is a product studio that designs and builds AI-enabled systems. These Terms of Service govern your access to and use of DARUM Labs systems, platforms, and related services.

Important: DARUM Labs does not sell products or services directly. DARUM Labs is operated by DARUM GROUP LLC, a Michigan-based company. All commercial activities, payments, subscriptions, and billing are handled by DARUM GROUP LLC or individual product entities.

DARUM Labs systems are provided as-is for design, development, and operational purposes. Any commercial transactions related to DARUM Labs products are governed by separate terms specific to each product and are processed through DARUM GROUP LLC or designated third-party payment providers (e.g., Stripe).

3. Intellectual Property Ownership

All intellectual property, including but not limited to software, designs, systems, documentation, and content created by DARUM Labs, is owned by DARUM GROUP LLC. You are granted a limited, non-exclusive, non-transferable license to use DARUM Labs systems solely for the purposes authorized in writing by DARUM GROUP LLC.

You may not:

• Reproduce, modify, or distribute any DARUM Labs intellectual property
• Reverse-engineer, decompile, or attempt to derive the underlying technology
• Use DARUM Labs systems for commercial purposes without explicit authorization

4. Third-Party Payment Processing

DARUM Labs does not directly process payments. If you access paid features or products:

• Payments are processed by third-party providers (e.g., Stripe) or individual product billing systems
• Third-party payment terms and privacy policies apply
• DARUM GROUP LLC is responsible for billing inquiries and disputes

5. User Responsibilities

You agree to:

• Use DARUM Labs systems only for lawful purposes
• Not engage in unauthorized access or system abuse
• Not use systems to create harmful, fraudulent, or illegal content
• Comply with all applicable laws and regulations
• Not interfere with system operations or security

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

DARUM Labs and DARUM GROUP LLC are provided "as-is" without warranties of any kind, express or implied. DARUM Labs is not responsible for:

• System downtime, data loss, or service interruptions
• Business outcomes or decisions made based on DARUM Labs systems
• Third-party content, integrations, or services
• Indirect, incidental, consequential, or punitive damages
• Loss of revenue, profits, or business opportunities

Your sole remedy is discontinuation of use.

7. Indemnification

You agree to indemnify and hold harmless DARUM GROUP LLC, DARUM Labs, and their officers, employees, and agents from any claims, damages, or costs arising from:

• Your use of DARUM Labs systems
• Your violation of these Terms
• Your infringement of third-party rights
• Your violation of applicable law

8. Termination

DARUM GROUP LLC may terminate your access to DARUM Labs systems at any time, with or without cause, with or without notice. Upon termination, your license to use DARUM Labs systems immediately ceases.

9. Modifications to Terms

DARUM GROUP LLC may modify these Terms at any time. Continued use of DARUM Labs systems constitutes acceptance of modified terms. We recommend reviewing these Terms periodically.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Michigan.

11. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
